The warning was issued by the Bureau of Meteorology early Thursday morning to advise that cold temperatures, rain and southeasterly winds were expected during Thursday and Friday.
Areas likely to be affected include the Central Tablelands, along with the Illawarra and Southern Tablelands forecast districts.
There is a risk of losses of lambs and sheep exposed to these conditions.
Temperatures will drop right across the region during the two-day period and fall as low as six degrees overnight in Bathurst, Lithgow, Blayney, Oberon and Orange.
While the mercury will fall to a low of seven degrees in Cowra, the lows in other regions will be a little warmer in Forbes (8 degrees), Parkes (8), Mudgee (9), Dubbo (11) and Young (11).
