The pair were travelling in a four-wheel-drive vehicle which left the road and struck a tree early on Saturday afternoon.
The man, who was driving, died at the scene, NSW Police said.
The female passenger was freed from the vehicle by emergency services and taken by helicopter to a Sydney hospital in a critical condition.
Inquiries were continuing into the crash that occurred 15 kilometres from the town.
Volunteer rescue squads from Dubbo, Mendooran and Coonabarabran were among the emergency services to respond.
Crew members assisted paramedics to get the woman treated and stabilised, Dubbo Rescue Squad captain David Chenhall said.
She was airlifted from the scene and taken to Westmead Hospital.
A spokeswoman for Western Sydney Local Health District said on Sunday the injured woman was in a critical condition.
Detectives from Orana Mid Western Police District were still investigating the cause of the crash.
But, police appealed in a social media post to any witnesses who did not speak to officers at the scene to come forward.
“We appeal to all our road users to take care while driving, take responsibility for your driving habits and drive to survive,” police said.
Chief Inspector Jeff Boon, duty officer for Orana Mid Western Police District, said the car had Queensland registration.
A report would be prepared for the Coroner.
